NEXTCLIP TERMS OF SERVICE

IMPORTANT NOTICE

PLEASE READ THESE TERMS CAREFULLY BEFORE USING NEXTCLIP.

By creating an account or using NextClip, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

Key Points:

  • You must be 18+ or have guardian approval (ages 13-17)
  • Clippers and Creators are independent contractors, not employees
  • All disputes are resolved through binding arbitration (you waive jury trial and class actions)
  • You grant broad licenses to content you submit
  • Platform fees are non-refundable
  • We act as an intermediary, not an employer or guarantor

1. DEFINITIONS

"NextClip," "we," "us," "our": NextClip LLC, a Florida limited liability company.

"Services" or "Platform": The NextClip marketplace, website, applications, and all related services.

"User," "you," "your": Any person or entity accessing or using the Services.

"Creator": A User who posts Bounties seeking content creation services.

"Clipper": A User who creates and submits content in response to Bounties.

"Bounty": A content creation request posted by a Creator with specified requirements and payment.

"Submission": Content created and submitted by a Clipper in response to a Bounty.

"Third-Party Platform": External social media platforms where Submissions are posted (e.g., TikTok, Instagram, YouTube Shorts).

"Content Asset": Materials provided by Creators for use in creating Submissions (video footage, music, images, etc.).

"View Goal": The target number of views specified in a Bounty that determines payment calculations.

"Balance": The accumulated earnings in a User's NextClip account available for withdrawal.

"Strike": An enforcement action against a User's account for Terms violations, as detailed in our Strike Policy.


2. ACCEPTANCE AND MODIFICATIONS

2.1 Acceptance

By accessing or using the Services, you agree to these Terms and all incorporated policies. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2.2 Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services independently. Users aged 13-17 may use the Services only through a Guardian-Sponsored Account (Section 3.3).

2.3 Modifications

We may modify these Terms at any time. Material changes will be notified via email or platform notice at least 30 days before taking effect. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Services.

2.4 Additional Terms

Specific Services may have additional terms. If additional terms conflict with these Terms, the additional terms govern for that specific Service.


3. ACCOUNT ELIGIBILITY AND REGISTRATION

3.1 Account Creation

To use the Services, you must:

  • Provide accurate, complete, and current information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept full responsibility for all account activity

3.2 Eligibility Requirements

You represent and warrant that:

  • You are at least 18 years of age (or age of majority in your jurisdiction), OR you are 13-17 with a Guardian-Sponsored Account
  • You are not located in a prohibited jurisdiction (Section 3.5)
  • You have not been previously banned from the Services
  • You are not impersonating another person or entity
  • All registration information is accurate and truthful

3.3 Guardian-Sponsored Accounts (Ages 13-17)

Eligibility: Minors aged 13-17 may use the Services only if a parent or legal guardian ("Guardian") creates and manages a Guardian-Sponsored Account on their behalf.

Guardian Requirements:

  • Guardian must be 18+ (or age of majority)
  • Guardian must verify identity through Stripe Connect
  • All payments go to Guardian's verified account
  • Guardian is the legal party to these Terms (not the minor)
  • Guardian has full liability for all account activities
  • Guardian must supervise account usage

Guardian Responsibilities: The Guardian agrees to:

  • Monitor all account activities and content
  • Ensure minor complies with these Terms and all applicable laws
  • Accept full liability for Terms violations
  • Be personally liable for any negative balances, fees, or damages
  • Report all earnings as Guardian's taxable income
  • Maintain sole access to account credentials
  • Intervene immediately if inappropriate activity occurs

Prohibited Activities: Guardian-Sponsored Accounts may NOT:

  • Post Bounties (Creator function requires 18+)
  • Receive or send direct messages to adult Users
  • Access adult-oriented content or Bounties
  • Make independent financial decisions

Account Termination: We may terminate Guardian-Sponsored Accounts at any time if:

  • Minor turns 18 (must create independent account)
  • Guardian supervision appears inadequate
  • Account is used inappropriately
  • We determine it's in the minor's best interest

3.4 One Account Per Person

You may maintain only one account. Multiple accounts may be terminated without warning.

3.5 Geographic Restrictions and International Use

International Availability: NextClip is available to users worldwide, subject to the restrictions below.

Payment Processing Limitations: Payment processing through Stripe Connect is only available in countries where Stripe supports Connect accounts. Verify your country at: https://stripe.com/global

Prohibited Jurisdictions: Services are not available to users located in or residents of:

  • Countries subject to U.S. sanctions (Cuba, Iran, North Korea, Syria, Russia, Crimea, Donetsk, Luhansk)
  • Any jurisdiction where the Services would be prohibited by law
  • Any jurisdiction where we cannot legally process payments

International Users Acknowledgment: If you are outside the United States, you acknowledge that:

  • Your data will be transferred to and processed in the United States
  • U.S. laws govern these Terms
  • You consent to this transfer as necessary to provide the Services
  • Data protection laws may differ from your jurisdiction

Age Requirements by Jurisdiction:

  • United States: 18 years old
  • European Union: 18 years old (or age of majority, if different)
  • United Kingdom: 18 years old
  • Canada: 18-19 years old (age of majority varies by province)
  • Australia: 18 years old
  • Other Countries: Age of majority in your jurisdiction

Guardian-Sponsored Accounts are available for minors aged 13-17 where legally permitted (some EU countries require 16+).


4. NEXTCLIP AS PLATFORM INTERMEDIARY

4.1 Our Role

NextClip operates as a marketplace platform connecting Creators and Clippers. We are NOT:

  • An employer or agent of either party
  • A party to Creator-Clipper agreements
  • A guarantor of work quality or performance
  • Responsible for disputes between Users
  • A payment processor (Stripe Connect processes payments)

4.2 Independent Contractor Status

Both Creators and Clippers are independent contractors. By using the Services:

  • You are self-employed and operate your own business
  • You control how, when, and where you work
  • You are responsible for your own taxes
  • You are not an employee of NextClip
  • You have no employment benefits from NextClip
  • You bear all business risks and expenses
  • No employment relationship exists or is intended

4.3 No Employment Relationship

NextClip does NOT:

  • Control your work schedule or methods
  • Provide training or supervision
  • Supply tools or equipment
  • Offer benefits, insurance, or paid leave
  • Withhold taxes from payments
  • Treat you as an employee for any purpose

You acknowledge that you are NOT entitled to:

  • Minimum wage or overtime pay
  • Workers' compensation
  • Unemployment insurance
  • Health insurance or benefits
  • Reimbursement of expenses
  • Protection under employment laws

4.4 Tax Obligations

You are solely responsible for all tax obligations.

U.S. Users:

  • NextClip issues 1099-NEC forms for earnings ≥ $600 per calendar year
  • You must provide accurate tax information (W-9)
  • You are responsible for self-employment taxes
  • You should make estimated quarterly tax payments
  • Consult a tax professional for guidance

International Users:

  • You are responsible for taxes in your jurisdiction
  • NextClip does NOT withhold taxes for non-U.S. users
  • You may need to report earnings to your local tax authority
  • Consult a local tax professional for guidance

Stripe Connect Tax Handling: All tax documentation is managed through Stripe Connect. NextClip relies on Stripe's tax reporting and does not independently verify tax information.

4.5 Our Limited Role in Disputes

If disputes arise between Creators and Clippers:

  • We may facilitate communication
  • We may review evidence and make determinations
  • Our decisions are final and binding
  • We are not obligated to intervene
  • We reserve the right to withhold or redirect payments
  • Neither party may sue NextClip for dispute outcomes

5. CREATOR OBLIGATIONS

5.1 Posting Accurate Bounties

When posting a Bounty, you must:

  • Provide clear, accurate, and complete requirements
  • Specify realistic View Goals and deadlines
  • Include all necessary Content Assets
  • Ensure you have rights to all Content Assets provided
  • Set reasonable payment amounts
  • Disclose any restrictions or special requirements

5.2 Payment Funding

At the time of Bounty creation:

  • You must fund the full Bounty amount upfront
  • Payment is captured by Stripe and held in NextClip's platform balance
  • Funds remain allocated to the Bounty until it concludes
  • You cannot withdraw or modify the amount once posted

Payment Authorization: By posting a Bounty, you authorize NextClip to:

  • Charge your payment method for the full Bounty amount
  • Hold funds in the platform balance pending Bounty completion
  • Distribute funds to Clippers based on verified performance
  • Refund unused portions when the Bounty ends

5.3 Content Asset Licensing

You grant Clippers a limited license to use your Content Assets solely for:

  • Creating Submissions for your Bounty
  • Posting Submissions to Third-Party Platforms as required
  • Displaying Submissions in their portfolios (with attribution)

License Restrictions: Clippers may NOT:

  • Use Content Assets for other projects without permission
  • Relicense or sell your Content Assets
  • Remove watermarks or attribution
  • Use Content Assets after the Bounty license terminates

License Termination: The Clipper's license to use your Content Assets terminates when:

  • The Bounty ends (for unused assets or rejected submissions)
  • The content is removed from Third-Party Platforms (for accepted submissions after agreed duration)
  • You revoke permission in writing for specific use cases

Clippers are NOT required to delete Creator Assets, but their license to use them ends as described above. Clippers may retain copies for portfolio purposes with proper attribution.

5.4 Ownership of Content Assets

You represent and warrant that:

  • You own or have valid licenses for all Content Assets
  • Use of Content Assets does not infringe third-party rights
  • Content Assets comply with all laws and platform policies
  • You have necessary releases for any identifiable persons

Indemnification: You agree to indemnify Clippers and NextClip for any claims arising from Content Assets you provide.

5.5 Payment Obligations

You agree to:

  • Fund Bounties in full before posting
  • Pay Clippers based on verified performance
  • Not dispute valid charges without legitimate cause
  • Accept determinations made by NextClip in disputes
  • Not demand refunds for completed work meeting stated requirements

Prohibited Conduct: You may NOT:

  • Refuse payment for work that meets stated requirements
  • Change requirements after Clippers begin work
  • Cancel Bounties to avoid payment obligations
  • File false disputes or chargebacks
  • Use Submissions without paying as agreed

6. CLIPPER OBLIGATIONS

6.1 Creating Original Submissions

You must:

  • Create original content using only approved Content Assets
  • Meet all specified Bounty requirements
  • Comply with Third-Party Platform policies
  • Post content by specified deadlines
  • Maintain content live for the Bounty duration

6.2 Grant of License to Creator

You grant the Creator a perpetual, worldwide, royalty-free license to:

  • Use your Submission in any manner
  • Modify, edit, or create derivative works
  • Distribute, display, and perform the Submission
  • Sublicense to third parties
  • Use in advertising and marketing

You retain ownership of your original creative contribution, but this license is broad and irrevocable.

6.3 Earnings and View Verification

Proportional Earnings: You earn a percentage of the Bounty amount equal to the percentage of the View Goal you achieve.

Formula:

(Your Verified Views ÷ View Goal) × Bounty Amount = Your Gross Earnings

Example:

  • Bounty: $100
  • View Goal: 10,000 views
  • Your verified views: 2,000
  • Your gross earnings: (2,000 ÷ 10,000) × $100 = $20.00

View Verification: Views are verified through:

  • OAuth connection to Third-Party Platforms
  • Automated view tracking via platform APIs
  • Periodic verification to detect manipulation
  • Manual review for discrepancies (MVP phase)

View Counting Period: Views are counted from Submission posting until the Bounty end date.

6.4 Honest Reporting

You must:

  • Accurately report view counts
  • Not manipulate views through bots, fake accounts, or other fraud
  • Not delete or private Submissions during the Bounty period
  • Provide verification access if requested
  • Report any issues or discrepancies promptly

Prohibited Activities: You may NOT:

  • Use view bots or fake engagement services
  • Create fake accounts to inflate views
  • Coordinate view manipulation schemes
  • Repost content to multiple accounts to artificially inflate counts
  • Misrepresent metrics or performance

7. CONTENT STANDARDS

7.1 Prohibited Content

All content must comply with our Community Guidelines. Prohibited content includes but is not limited to:

  • Child sexual abuse material (CSAM)
  • Illegal activities or content
  • Hate speech or discrimination
  • Graphic violence or gore
  • Adult sexual content or pornography
  • Harassment or bullying
  • Misinformation or fraud
  • Spam or low-quality content

7.2 Quality Standards

Content must meet minimum quality standards:

  • Clear and legible (720p minimum resolution)
  • Properly edited and produced
  • Meets stated Bounty requirements
  • Complies with Third-Party Platform policies
  • Professional presentation

7.3 Third-Party Platform Compliance

All Submissions must comply with the policies of the platform where posted:

  • TikTok Community Guidelines
  • Instagram/Facebook Community Standards
  • YouTube Community Guidelines
  • Twitter/X Rules and Policies
  • Discord Community Guidelines (if participating in NextClip Discord server)
  • Platform-specific technical requirements

You are responsible for knowing and following platform policies.

7.4 Intellectual Property Compliance

All content must:

  • Respect copyright, trademark, and other IP rights
  • Use only licensed or permitted materials
  • Comply with fair use doctrine (where applicable)
  • Not infringe on others' rights

8. INTELLECTUAL PROPERTY

8.1 NextClip Intellectual Property

All NextClip trademarks, logos, designs, and content are owned by NextClip LLC. You may not use our intellectual property without written permission.

8.2 User Content Ownership

You retain ownership of content you create, subject to licenses granted in these Terms.

8.3 License to NextClip

By posting content on the Platform, you grant NextClip a worldwide, perpetual, royalty-free license to:

  • Display and distribute your content on the Platform
  • Use in marketing materials (with notice)
  • Create derivative works for platform improvement
  • Sublicense to service providers

This license is necessary for us to operate the Platform.

8.4 Creator-Clipper Licensing

See Sections 5.3 (Creator to Clipper) and 6.2 (Clipper to Creator) for specific licensing terms.


9. PAYMENT TERMS

9.1 Payment Structure

For Creators:

  • Fund Bounties upfront at posting time
  • Payment captured and held in NextClip's Stripe balance
  • Unused funds refunded when Bounty ends
  • All payments processed through Stripe Connect

For Clippers:

  • Earnings calculated proportionally based on verified views
  • Earnings added to your NextClip Balance
  • Withdraw when Balance reaches minimum threshold
  • Payments processed through Stripe Connect

9.2 Platform Fees

NextClip Platform Fee: 10%

  • Applied to all Clipper earnings
  • Deducted at time of withdrawal
  • Non-refundable
  • Covers platform operation and maintenance

Stripe Processing Fees:

  • Standard Stripe Connect rates apply (~2.9% + $0.30 per transfer)
  • Charged on withdrawals to bank accounts
  • Deducted from withdrawal amount
  • Set by Stripe, not NextClip

Example Withdrawal:

Balance: $10.00
Platform fee (10%): -$1.00
After platform fee: $9.00
Stripe fee: (9.00 × 0.029) + 0.30 = -$0.56
Net deposited to bank: $8.44

9.3 Balance and Withdrawal System

How Earnings Work: When a Bounty ends, your proportional earnings are added to your NextClip Balance:

  • No per-bounty minimum
  • All amounts count, even small earnings
  • Earnings accumulate across unlimited bounties
  • Balance displayed in account dashboard

Withdrawal Minimum: You can withdraw funds when your Balance reaches $5.00 USD or more.

Auto-Payout (Default Setting): By default, withdrawals process automatically when your Balance reaches $5.00. Funds transfer within 2-7 business days.

Manual Withdrawal: You may disable auto-payout and withdraw manually:

  • Withdraw anytime Balance ≥ $5.00
  • Request withdrawal from account dashboard
  • Processing within 2-7 business days

Fee Deductions: All fees are deducted at the time of withdrawal:

  • Platform fee (10%) deducted from Balance
  • Stripe transfer fees deducted from remaining amount
  • Net amount deposited to your bank account

Inactive Balances: If your account remains inactive for 12+ consecutive months:

  • Balances under $5.00 may be forfeited
  • Balances of $5.00+ will be paid out before account closure
  • You will receive email notice 30 days before forfeiture

9.4 Payment Timing

For Creators:

  • Charged immediately when Bounty is posted
  • Refunds processed within 5-10 business days after Bounty ends

For Clippers:

  • Earnings credited when Bounty ends and is verified
  • Auto-payouts process within 2-7 business days when threshold is met
  • Manual withdrawals process within 2-7 business days after request
  • International transfers may take longer

9.5 Payment Methods

Accepted Payment Methods:

  • Credit cards (Visa, Mastercard, Amex, Discover)
  • Debit cards
  • ACH bank transfers (for large Bounties)
  • Other methods supported by Stripe

Payout Methods:

  • Bank transfer (ACH for U.S., varies internationally)
  • Debit card (where available)
  • Payout methods determined by Stripe Connect availability in your country

9.6 Refunds and Chargebacks

Refund Policy:

  • Platform fees are non-refundable
  • Unused Bounty funds are automatically refunded to Creators
  • Refunds for Terms violations are at NextClip's discretion
  • Processing time: 5-10 business days

Chargebacks: If you initiate an unauthorized chargeback:

  • Your account will be immediately suspended
  • You may be banned permanently
  • You must pay all fees and costs we incur
  • We may pursue legal action

Legitimate Disputes: If you have a legitimate payment issue:

  • Contact support@nextclip.net first
  • Do NOT initiate chargeback without contacting us
  • We will work to resolve disputes fairly
  • Chargebacks should be last resort only

9.7 Currency

All transactions are in USD. International users may see conversions in their local currency, but all platform amounts are denominated in USD.

9.8 Tax Reporting

U.S. Users:

  • 1099-NEC forms issued for earnings ≥ $600 per calendar year
  • Forms available by January 31 following tax year
  • Must provide valid W-9 information

International Users:

  • No tax forms issued by NextClip
  • You are responsible for reporting earnings in your jurisdiction
  • Consult local tax professional

Tax on Withdrawal: Taxable income is based on amounts withdrawn, not pending Balance. Amounts withdrawn in a calendar year are reportable for that tax year.

9.9 Failed Payments

If Creator Payment Fails:

  • Bounty will not be posted until payment succeeds
  • You will be notified to update payment method
  • Bounty remains in draft status

If Clipper Payout Fails:

  • Funds remain in your Balance
  • You will be notified to update banking information
  • Retry automatically when information is corrected

10. STRIKE SYSTEM AND ENFORCEMENT

10.1 Strike System Overview

Violations of these Terms or Community Guidelines may result in Strikes against your account. See our Strike Policy for complete details.

Strike Levels:

  • Strike 1: Warning, content removal
  • Strike 2: 7-day suspension
  • Strike 3: 30-day suspension
  • Strike 4: Permanent ban

10.2 Immediate Termination

Some violations result in immediate permanent ban without Strikes:

  • Child sexual abuse material (CSAM)
  • Child exploitation or endangerment
  • Terrorism or violent extremism
  • Human trafficking
  • Severe fraud or hacking

10.3 Enforcement Rights

We reserve the right to:

  • Remove content without notice
  • Issue Strikes or warnings
  • Suspend or terminate accounts
  • Withhold payments pending investigation
  • Report illegal activity to authorities
  • Take any action necessary to protect the Platform

11. FRAUD PREVENTION

11.1 View Manipulation Detection

We use automated and manual methods to detect:

  • Bot-generated views
  • Fake account engagement
  • Coordinated manipulation
  • Suspicious traffic patterns
  • Platform policy violations

Consequences:

  • Earnings forfeiture
  • Strike or immediate ban
  • Report to Third-Party Platforms
  • Legal action for severe fraud

11.2 Identity Verification

We may require identity verification at any time through Stripe Connect:

  • Government-issued ID
  • Proof of address
  • Business documentation
  • Bank account verification

Failure to verify may result in:

  • Payment withholding
  • Account suspension
  • Forfeiture of earnings

11.3 Monitoring and Audits

We reserve the right to:

  • Monitor all platform activity
  • Audit view counts and engagement
  • Request additional verification
  • Review content and submissions
  • Investigate suspicious activity

You must cooperate fully with all investigations.


12. DMCA AND COPYRIGHT

12.1 DMCA Compliance

NextClip complies with the Digital Millennium Copyright Act (DMCA).

Scope of DMCA Coverage: DMCA takedown procedures apply only to content stored on or displayed on NextClip servers, including:

  • Creator Assets uploaded to the platform
  • Submission previews and thumbnails hosted on NextClip
  • User-uploaded portfolio content
  • Profile images and bio content

Content on Third-Party Platforms: For Submissions posted to TikTok, Instagram, YouTube, or other platforms:

  • Copyright complaints must be filed directly with those platforms
  • Follow their respective DMCA procedures
  • NextClip cannot remove content hosted on third-party platforms

Hybrid Content: If a Submission is both displayed on NextClip (preview/thumbnail) AND posted to a third-party platform:

  • Copyright holders may file DMCA notices with both NextClip and the third-party platform
  • NextClip will remove our hosted preview/thumbnail upon valid notice
  • Third-party platform removal must be pursued separately

12.2 Filing a DMCA Takedown Notice

If you believe content on NextClip infringes your copyright:

Subject: "DMCA Takedown Notice"

Include:

  1. Identification of copyrighted work claimed to be infringed
  2. Identification of infringing material and its location on NextClip
  3. Your contact information (name, address, phone, email)
  4. Statement of good faith belief that use is not authorized
  5. Statement that information is accurate and you are authorized to act
  6. Physical or electronic signature

Processing Time: We respond to valid notices within 24-48 hours.

12.3 Counter-Notice

If you believe content was removed in error:

Email: dmca@nextclip.net
Subject: "DMCA Counter-Notice"

Include:

  1. Identification of removed content and its former location
  2. Statement under penalty of perjury that removal was mistake or misidentification
  3. Your contact information and consent to jurisdiction
  4. Physical or electronic signature

Restoration: Content may be restored 10-14 business days after counter-notice if no legal action is filed.

12.4 Repeat Infringer Policy

Users with multiple copyright violations will be permanently banned. We track:

  • DMCA takedown notices
  • Verified copyright violations
  • Strikes for IP infringement

Three Strikes Rule:

  • 1st violation: Strike 1, content removed
  • 2nd violation: Strike 2, 7-day suspension
  • 3rd violation: Permanent ban

12.5 Fair Use

We respect fair use principles. If you believe your use qualifies as fair use, include that explanation in your counter-notice. Fair use is determined case-by-case.


13. PLATFORM RIGHTS AND RESTRICTIONS

13.1 License to Use Platform

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose, subject to these Terms.

13.2 Restrictions

You may NOT:

  • Reverse engineer or decompile the Platform
  • Scrape or data mine without permission
  • Use automated tools (bots) except as explicitly permitted
  • Circumvent security measures
  • Access other users' accounts
  • Interfere with Platform operation
  • Use the Platform for any illegal purpose

13.3 Service Availability

We strive for 99% uptime but do not guarantee:

  • Continuous, uninterrupted access
  • Error-free operation
  • Freedom from viruses or harmful code
  • Compatibility with all devices/browsers

13.4 Changes to Services

We may at any time:

  • Modify Platform features
  • Add or remove functionality
  • Change fee structures (with notice)
  • Discontinue Services (with notice)

Material changes will be announced with 30 days notice.

13.5 Beta Features

Some features may be labeled "beta" or "experimental":

  • These are provided as-is
  • May contain bugs or errors
  • May be discontinued without notice
  • No guarantees or warranties apply

14. DISCLAIMERS AND WARRANTIES

14.1 Platform "As Is"

  • NON-INFRINGEMENT
  • QUALITY, ACCURACY, OR RELIABILITY
  • FREEDOM FROM ERRORS OR INTERRUPTIONS

14.3 No Guarantee of Results

We do NOT guarantee:

  • Earnings or income levels
  • Success of Bounties or Submissions
  • View counts or engagement
  • Quality of work from other Users
  • Resolution of disputes in your favor

14.4 Third-Party Platforms

We are not responsible for:

  • Actions of Third-Party Platforms
  • Changes to platform policies
  • Content removal by platforms
  • Account suspensions on platforms
  • View counting accuracy

14.5 User Interactions

We are not responsible for:

  • Actions of other Users
  • Quality of work performed
  • Disputes between Users
  • Losses from User misconduct
  • Fraud or misrepresentation by Users

14.6 Internet and Technology Risks

You acknowledge risks including:

  • Internet outages
  • Device compatibility issues
  • Data loss
  • Security breaches
  • Technical malfunctions

15. LIMITATION OF LIABILITY

15.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTCLIP IS NOT LIABLE FOR:

Indirect Damages:

  • Lost profits or revenue
  • Loss of business opportunities
  • Loss of data
  • Reputational harm
  • Consequential damages
  • Incidental damages
  • Special damages
  • Punitive damages

This applies even if we were advised of the possibility of such damages.

15.2 Maximum Liability Cap

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF:

  • $100 USD, OR
  • Amounts you paid to NextClip in the 12 months preceding the claim

15.3 Essential Purpose

These limitations are an essential part of the agreement. Without them, we could not provide the Services economically.

15.4 Exceptions

Some jurisdictions do not allow limitation of certain damages. If your jurisdiction prohibits these limitations, they may not apply to you to the extent prohibited.

15.5 Basis of Bargain

You acknowledge that:

  • NextClip has set prices based on these limitations
  • These limitations reflect a reasonable allocation of risk
  • You would not receive these Services on these terms without these limitations

16. INDEMNIFICATION

16.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless NextClip, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or relating to:

Your Use of Services:

  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of third-party rights
  • Content you post or submit
  • Your interactions with other Users

Content You Provide:

  • Infringement claims related to your content
  • Content Assets you provide
  • Misrepresentation of rights or licenses
  • Violations of platform policies

Your Conduct:

  • Fraud or misrepresentation
  • View manipulation
  • Harassment or abuse
  • Security breaches
  • Any harm to other Users

16.2 Defense and Settlement

We reserve the right to:

  • Assume exclusive defense and control of any matter subject to indemnification
  • Require you to cooperate in defense
  • Refuse settlement without our consent

16.3 Cooperation

You must:

  • Provide information requested for defense
  • Cooperate fully in the defense
  • Not settle without our written consent
  • Not take action that prejudices our defense

17. DISPUTE RESOLUTION AND ARBITRATION

17.1 IMPORTANT - READ CAREFULLY

THIS SECTION CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS.

By accepting these Terms, you agree to:

  • Resolve disputes through binding arbitration
  • Waive your right to a jury trial
  • Waive your right to participate in class actions

17.2 Informal Dispute Resolution

Before initiating arbitration, you must:

  1. Email legal@nextclip.net with detailed description of dispute
  2. Include: Your name, account email, description, desired resolution
  3. Attempt good-faith resolution for 60 days

We will do the same if we have a dispute with you.

17.3 Binding Arbitration Agreement

If informal resolution fails, disputes must be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration Rules:

  • One arbitrator selected per AAA rules
  • Arbitration conducted in St. Petersburg, Florida (or remotely)
  • Governed by Federal Arbitration Act (FAA)
  • Discovery limited as determined by arbitrator
  • Arbitrator's decision is final and binding

17.4 Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

All disputes must be brought individually. You may not:

  • Join your claim with others
  • Participate as class member in class action
  • Bring representative action on behalf of others
  • Consolidate claims with other arbitrations

17.5 Arbitration Costs

For Claims Under $10,000:

  • NextClip pays all AAA filing fees
  • Each party pays own attorney's fees unless arbitrator awards them

For Claims Over $10,000:

  • AAA rules govern fee allocation
  • Arbitrator may award attorneys' fees to prevailing party

17.6 Small Claims Court Exception

You may bring claims in small claims court if:

  • Claim qualifies for small claims jurisdiction
  • Claim brought only in your individual capacity
  • Claim remains in small claims court (not removed)

17.7 Excluded Claims

The following disputes are NOT subject to arbitration:

  • Claims seeking injunctive relief for intellectual property infringement
  • Claims in small claims court (as noted above)
  • Claims brought by NextClip to enforce this arbitration agreement
  • Claims for emergency equitable relief

17.8 Opt-Out Right

You may opt out of arbitration by emailing legal@nextclip.net within 30 days of creating your account with:

  • Subject line: "Arbitration Opt-Out"
  • Your full name, account email, and statement "I opt out of arbitration"

If you opt out:

  • You retain the right to sue in court
  • NextClip retains the right to sue in court
  • All other Terms remain in effect

17.9 Severability

If any portion of this arbitration agreement is found invalid or unenforceable, the remainder remains in effect. If the class action waiver is invalid, the entire arbitration agreement is void for that claim only.

17.10 State-Specific Consumer Rights

Notwithstanding the choice of Florida law, if you are a resident of a U.S. state with mandatory consumer protection laws, nothing in these Terms limits those rights.

California Users: You may have additional rights under the California Consumer Legal Remedies Act (CLRA), California Consumer Privacy Act (CCPA), California Civil Code § 1668, and California Labor Code (AB5).

New York Users: You may have rights under New York General Business Law and New York Labor Law.

Other State Residents: You may have additional rights under your state's consumer fraud acts, wage and hour laws, independent contractor classification laws, and data privacy laws.

European Union and United Kingdom Residents: If you are located in the European Union or United Kingdom, mandatory consumer protection laws in your jurisdiction may override certain provisions in these Terms, including the arbitration provisions in Section 17. You retain the right to bring disputes in your local courts as required by EU consumer protection directives and UK consumer protection laws. Nothing in these Terms limits mandatory consumer rights under EU or UK law.

If any provision conflicts with mandatory state or national consumer protection laws, those laws govern to the extent of the conflict.


18. PLATFORM CIRCUMVENTION PROHIBITION

18.1 No Circumvention

You expressly agree NOT to:

  • Use the Platform to find Users, then transact off-platform to avoid fees
  • Encourage other Users to conduct business outside the Platform
  • Share contact information with intent to move business off-platform
  • Use coded language to encourage off-platform deals

18.2 Consequences

Platform circumvention results in:

  • Immediate account termination
  • Forfeiture of funds in pending transactions
  • Payment of platform fees that would have been owed
  • Potential legal action

18.3 Reporting Circumvention

Report circumvention attempts to: legal@nextclip.net (subject: "Platform Circumvention Report")

18.4 Permitted Off-Platform Activity

You MAY:

  • Build relationships with Users encountered on the Platform
  • Work together on future projects after the initial Bounty concludes
  • Maintain professional connections

The restriction applies only to intentionally circumventing the Platform to avoid fees on transactions initiated through NextClip.


19. DATA AND PRIVACY

19.1 Privacy Policy

Our collection, use, and protection of your personal data is described in our Privacy Policy (incorporated by reference).

19.2 Consent to Data Processing

By using the Services, you consent to:

  • Collection and processing of your personal data as described in the Privacy Policy
  • Transfer of your data to the United States (if you're outside the U.S.)
  • Use of cookies and tracking technologies
  • Communications from NextClip (transactional and, if consented, marketing)

19.3 Data Rights

Your rights regarding your personal data (including GDPR rights for EU/UK users) are detailed in our Privacy Policy.

19.4 Data Security

We implement reasonable security measures, but cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.

19.5 Discord Integration Consent

IMPORTANT: By connecting your Discord account to NextClip, you explicitly consent to bidirectional data sharing between NextClip and Discord servers.

You Understand and Agree That:

  • Your performance data (earnings, achievements, rankings) will be shared with Discord servers
  • Achievement and rank-up announcements may be publicly posted in Discord community channels
  • Your earnings amounts may be visible to other Discord server members in announcements and leaderboards
  • Discord's privacy policy governs data once it is on Discord's servers
  • Historical announcements cannot be deleted from Discord after disconnection
  • You can control visibility settings in Profile Settings → Privacy → Discord Integration

Privacy Controls Available: You can opt out of public announcements while maintaining account linkage:

  • Profile Settings → Privacy → Discord Integration
  • Toggle off "Allow public achievement announcements"
  • Toggle off "Allow leaderboard inclusion"
  • Toggle off "Show lifetime earnings in public announcements"

Note: Automatic role assignment (Bronze, Silver, Gold, etc.) cannot be hidden if you maintain Discord linkage, as roles are visible to all server members.

Disconnection: You can disconnect Discord integration at any time through Profile Settings → Social Accounts. Upon disconnection, no new data will be shared, but historical Discord messages cannot be retroactively deleted.

By linking your Discord account, you acknowledge that you have read and understood the Discord integration details in our Privacy Policy.


20. TERMINATION

20.1 Termination by You

You may terminate your account at any time by:

Termination does NOT:

  • Relieve you of payment obligations
  • Terminate licenses you've granted (Section 8)
  • Absolve you of liability for prior conduct

20.2 Termination by NextClip

We may suspend or terminate your account at any time for:

  • Violation of these Terms or any incorporated policy
  • Fraud or illegal activity
  • Repeated Strikes
  • Inactivity (after notice)
  • Any reason, with or without cause

20.3 Effect of Termination

Upon termination:

  • Your access to the Services is revoked
  • Outstanding payment obligations remain due
  • Licenses granted to others survive (Sections 6.2, 8.3)
  • Sections that by their nature should survive will survive (indemnification, limitation of liability, arbitration, etc.)

20.4 No Refunds

Termination does not entitle you to refunds of any fees paid.


21. GENERAL PROVISIONS

21.1 Entire Agreement

These Terms, together with our Privacy Policy, Community Guidelines, and Strike Policy, constitute the entire agreement between you and NextClip.

21.2 Severability

If any provision is found invalid or unenforceable, the remainder of these Terms remains in effect.

21.3 Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later.

21.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms at any time.

21.5 No Third-Party Beneficiaries

These Terms do not create rights for any third parties.

21.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, government actions, etc.).

21.7 Notices

Notices to you may be sent via:

  • Email to your registered address
  • In-app notifications
  • Platform announcements

Notices to us must be sent to the contact information in Section 22.

21.8 Interpretation

Headings are for convenience only. "Including" means "including but not limited to."

21.9 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Venue: Except for disputes subject to arbitration, any legal action must be brought in state or federal courts in Pinellas County, Florida.
